Solvespace Escrow Terms

Parties: Enterprise sponsor, eligible contributors, and Solvespace as escrow facilitator

These Escrow Terms govern locked bounties attached to enterprise challenges. They supplement the Terms of Service and do not create a banking, brokerage, or trust-company relationship beyond the limited facilitation described below.

1. Nature of escrow

When a sponsor posts an outbound challenge with a bounty, Solvespace records the amount as locked. Funds are not contributor property until a qualifying release event. Solvespace acts as an independent intermediary marketplace and payment processor. Sponsors retain beneficial interest in locked funds until release or refund.

2. Lock conditions

A lock is valid only if:

  • the challenge is an enterprise NDA room with a corporate sponsor of record;
  • the bounty amount is greater than zero and denominated in an approved currency;
  • the sponsor’s billing profile is in good standing; and
  • the Platform has created a corresponding held bounty transaction.

Solvespace may decline or unwind a lock if KYC/AML screening of the sponsor or designated payee fails.

3. Platform commission (take-rate)

Upon a successful release, Solvespace deducts a platform commission from the bounty before remittance to the designated contributor or team lead.

The combined Solvespace take-rate is 10% of the released bounty, excluding third-party payment-network fees. Enterprise order forms may specify a volume-discounted take-rate. Commissions are non-refundable once a release has been executed, except in cases of proven Platform error.

4. Release conditions

Funds may move from locked to released only after:

  1. the AI auditor records is_verified = true on the challenge; and
  2. either
    • the sponsor’s release policy is auto_on_verified_audit, or
    • an authorized sponsor administrator confirms release after that verified audit.

Solvespace will not release funds solely because a team requested payout. Failed, missing, or flagged audits keep escrow locked. Manual sign-off cannot override a failed verification.

5. Refund policy

A sponsor administrator may request a refund of locked funds where:

  • no verified audit exists and the sponsor withdraws the challenge;
  • the room is closed for vandalism, sanctions, or material breach; or
  • the parties execute a written mutual termination.

Refunds are not available after a completed release. Refunds return the locked principal to the sponsor. Solvespace does not deduct a take-rate on a clean refund of never-released funds. Chargebacks initiated outside these Terms may result in account suspension.

6. Payee designation and splitting

The default payee is the challenge creator or the team lead identified by the sponsor. Multi-contributor splits require a written allocation agreed in the room or order form before release. Solvespace is not responsible for intra-team disputes after remittance to the designated payee.

7. Dispute resolution

Escrow disputes must be opened in writing to legal@solvespace.com within thirty (30) days of the relevant lock, audit, release, or refund event. The parties shall first attempt good-faith operational resolution with Legal Operations.

If unresolved after fifteen (15) business days, the dispute proceeds to confidential mediation in English. If mediation fails, exclusive jurisdiction lies with the competent courts agreed in the enterprise order form or, if none, the courts of the Platform’s principal place of operations. Emergency injunctive relief may be sought to preserve NDA materials or prevent unlawful release.

8. Holds, set-off, and compliance freezes

Solvespace may freeze escrow pending investigation of fraud, sybil activity, sanctions hits, or vandalism. The Platform may set off unpaid invoices against a sponsor’s future challenge locks.

9. Taxes

Sponsors and contributors are solely responsible for their taxes. Solvespace may request tax forms before remittance. Bounty statements are informational and not tax advice.
